• The company cannot use this memorandum in other purposes beside exploring deposits area of Ilmenite
• In the event that the study has found other mineral resources such as gemstone, the company shall to report to Ministry as soon as possible and not allow transporting those resources from that location.
• The company shall collaborate with General Department of Mineral Resources to pass out the working program and other plans which will be implemented including: Determination of working program, Geological data collecting and preparing the geological report, Training program and Technical transferring, and other related working program.
• The company shall summit progressing monthly report to Ministry regularly
• Within 30 days before the end of the memorandum, the company shall submit to the ministry its technical report, including data and information, analysis and data translation relevant to Ilmenite study in the area.

The company agreed to provide side training for two officials from General Department of Mineral Resources, who will be transferred to temporarily work with the company in order to gain more experiences on the mining development sector in Cambodia. The company also agreed to provide the proper allowance and accommodation for those two officials during the training.

In the event that the company missed to start its operation in the allowed areas in 60 days after being signed, this MoU shall be terminated.
